2) Account & Access

Your obligations:

  • Provide accurate information when creating your account.
  • Keep your credentials confidential (password, API keys).
  • Your account is personal and cannot be transferred to another person.
  • Notify us immediately in case of unauthorized access to your account.
  • Ensure the content of your links complies with applicable laws.
  • We are not a backup service: regularly back up your important data.

Team usage:

  • You may authorize team members to use your account.
  • You are responsible for their actions and their compliance with these Terms.

Our responsibility:

  • We are not liable for losses resulting from unauthorized access due to your failure to protect your credentials.

3) Changes & Notice

Our rights to change:

  • Features, quotas, limits and service terms may evolve.
  • We may update these Terms at any time.

Your rights in case of unfavorable changes:

  • For any unfavorable change (price increase, reduction of quotas or features), we provide 15 days prior notice.
  • You will be notified by email and via an in‑app banner.
  • The effective date will be clearly indicated.
  • If you do not accept these changes, you may cancel your subscription without penalty before they take effect (see Terms of Sale).

Acceptance:

  • Continuing to use the Service after the effective date constitutes acceptance of the new Terms.
  • For major changes, we may require explicit acceptance before continued use.

4) Quotas, API & Throttling

Respect quotas:

  • You must respect the quotas and API limits of your subscription plan.

Plan quotas (per month):

  • Start: up to 100 targets, 10 links per target, 5,000 clicks analyzed, 10,000 redirections.
  • Pro: up to 200 targets, 20 links per target, 100,000 clicks analyzed, 500,000 redirections.
  • Business: Custom quotas (higher limits available on request).

Inactive links:

  • Links that have not been clicked for more than 6 months will be automatically deleted.
  • This helps maintain service efficiency.

Dead links limitation:

  • For "dead" links (links redirecting to 404 pages or errors), redirection and analytics storage are limited to a maximum of 1,000 per month, per "dead" link.

If you exceed limits:

  • In case of quota overuse or abuse, we may apply, in this order:
    1. Throttling
    2. Email notification
    3. Temporary limited suspension
    4. Reactivation after regularization or plan upgrade

5) No SLA & Unavailability

No uptime guarantee:

  • The Service is provided without SLA (Service Level Agreement), i.e., without uptime guarantee.
  • Interruptions, degradations or outages may occur, whether planned (maintenance) or emergency (incident).

Waiver of recourse:

  • You waive any recourse or compensation related to:
    • Service unavailability
    • Slowdown of the Service
    • Loss of access to your account
    • Loss of data
  • Important exception: This waiver does not apply in case of gross negligence or fraud on our part.

Liability cap:

  • Our total liability is limited to the subscription amounts you paid over the last 12 months.
  • This limit does not apply in case of gross negligence or fraud where liability may be unlimited.

6) Acceptable Use (AUP)

Law compliance:

  • You must comply with all applicable laws and our Acceptable Use Policy (AUP).

Strict prohibitions:

  • Prohibited content: phishing, spam, malware, exploits, security circumvention, unlawful data collection, illegal, hateful or defamatory content.
  • IP infringements: copyright/trademark violations; brand or identity impersonation.
  • Prohibited commercial use: you may not use the Service to build a competing short URL service or to massively extract our data.
  • Automation: any automation outside authorized APIs and your plan quotas is prohibited.

7) Custom Domains

Mandatory verification:

  • To use a custom domain, you must perform DNS (TXT/CNAME) verification.
  • This ensures you own the domain.

Your warranties:

  • You warrant that you own or are authorized to use the domain.
  • You warrant that using the domain does not infringe third‑party rights.

Deactivation:

  • We may deactivate your custom domain in case of abuse, dispute or infringement of third‑party rights.

8) Data & Privacy

Data processing:

  • Processing of your personal data is described in our Privacy Policy (see GDPR section below).

Execution data:

  • Click and redirection data are processed under your instructions as a processor.
  • A Data Processing Addendum (DPA) is available upon request.

Transfers outside the EU:

  • Transfers outside the EU are governed by Standard Contractual Clauses (SCC) approved by the European Commission.

Your warranties:

  • You warrant that data you transmit via the Service are lawful and that you have the right to process them.

9) Intellectual Property

Our rights:

  • All Service rights (software, documentation, design) are reserved to CRESPEL RAKUN.

Your rights:

  • Content you create (links, QR codes, metadata) belongs to you.

Suggestions & feedback:

  • We may reuse suggestions or feedback you provide without compensation.

10) Logs & Evidence

Technical logs retention:

  • We retain technical logs (IP address, browser/user‑agent, events) for 90 days.
  • Logs are used for security, diagnostics and fraud prevention.
  • After 90 days, data are aggregated or anonymized.

11) Suspension & Removal

We may suspend or remove:

  • Individual links or QR codes
  • Your access to the Service

Reasons:

  • Security threats
  • Breach of these Terms or the AUP
  • Quota overrun after notice
  • Unpaid invoices
  • Blocking of malicious or fraudulent links

Automatic deletion:

  • Links with no clicks for more than 6 months will be automatically deleted to maintain service efficiency.

Termination by CRESPEL RAKUN:

  • We may terminate or suspend your account immediately in case of:
    • Breach of these Terms or the AUP
    • Unpaid invoices after formal notice
    • Security threats or fraudulent activity
    • Legal obligations or court orders
  • In case of termination, you will be notified by email with reasonable notice, except in cases of immediate threat where suspension may be immediate.

12) Indemnification (client → CRESPEL RAKUN)

Your responsibility:

  • If your links, content or redirections cause third‑party harm (IP, privacy or law violations), you must indemnify us.

What you must cover:

  • Third‑party claims resulting from your links/content/redirections
  • Reasonable defense costs (attorneys, proceedings)

Cap:

  • Your indemnification is limited to subscription amounts you paid over the last 12 months.

Exception:

  • This indemnification does not apply where the harm results from our gross negligence or fraud.

13) Anti‑benchmark / Anti‑clone

Competitive reuse prohibited:

  • You may not export, aggregate or reuse Service metrics/data to:
    • Commercially compare our Service
    • Train AI models
    • Develop a competing short URL/QR/analytics service
  • This prohibition also applies to scraping or API use outside authorized purposes.

14) Law, Jurisdiction, Conflicts & Language

Applicable law:

  • These Terms are governed by French law.

Jurisdiction:

  • Courts of the Commercial Court of Nantes are competent.
  • For consumers: If you are a consumer, you also benefit from the mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer under mandatory local law.

Conflict of laws:

  • Where permitted, conflict‑of‑law rules are excluded.
  • These Terms prevail subject to mandatory consumer provisions of local law.

Language:

  • The French version is authoritative.
  • Translations are provided for convenience only.

15) Mediation / Arbitration (EU/International)

For cross‑border disputes:

  • Prior mediation is required.
  • Failing agreement within 45 days, arbitration applies under the following rules:
    • Body: ICC Paris (International Chamber of Commerce)
    • Sole arbitrator
    • Language: French
    • Seat: Paris
    • Governing law: French law

Emergency measures:

  • This clause does not exclude emergency measures.
  • It does not exclude the jurisdiction of Nantes for non cross‑border disputes.

15bis) Consumer Mediation (France)

For consumers located in France:

  • In accordance with Articles L.611‑1 and R.612‑1 et seq. of the French Consumer Code, you may use a consumer mediator for the amicable resolution of disputes.

Free of charge:

  • Mediation is free and can be initiated by mail or via the European platform.

16) Waiver of class actions (US only)

For users located in the United States:

  • To the extent permitted by applicable law, any proceeding must be brought individually.
  • You waive class, representative or consolidated actions.

17) Export & Sanctions

Your statements:

  • You declare that you are not listed on EU, UN or OFAC sanctions lists.
  • You agree to comply with export and embargo laws.

Consequences:

  • In case of risk of violation, we may suspend your access to the Service.

💳 Terms of Sale — General Terms and Conditions of Sale

1) Plans & Subscriptions

Quotas & limits:

  • Quotas and limits of each plan are clearly displayed at subscription.

Unfavorable changes:

  • For price increases or substantial reduction of benefits/quotas, we provide 15 days prior notice.
  • You may cancel without penalty before such changes take effect.

2) Duration & Renewal

Automatic renewal:

  • Your subscription renews automatically for successive periods of the same duration (monthly or annually, as selected).

Termination:

  • You can cancel without penalty before renewal via your account.
  • Notice period: Cancellation must be requested at least 7 days before the renewal date to avoid automatic renewal.
  • If cancellation is requested after renewal, the subscription remains active until the end of the current billing period (no refund).

2bis) Right of Withdrawal (Consumers)

For consumers located in the European Union:

Your right:

  • You have the right to withdraw from this contract within 14 days without giving any reason.

Important exception for digital services:

  • By expressly requesting immediate performance and acknowledging that you will lose your right of withdrawal once the service has been fully performed, you consent to immediate performance.
  • If you requested immediate performance and the service has been fully provided, you will not be entitled to a refund.

How to exercise your right:

Note:

  • This right applies to consumers only (not businesses).

3) Payment & Unpaid Invoices

Payment:

  • Payment is made in advance.
  • Recurring charges continue until cancellation.

Prices:

  • Prices are excluding VAT.
  • Applicable VAT and taxes may apply depending on your location.
  • Any withholding tax is at your expense.

Late payment:

  • In case of late payment, interest of 1.5% per month (or lower legal maximum) applies.

Unpaid invoices:

  • In case of unpaid invoices, we may apply, in this order:
    1. Throttling
    2. Suspension of access
    3. Downgrade to a lower plan
    4. Termination after formal notice
  • After payment is regularized, your account will be reactivated.

4) Unfavorable Changes & Termination

Your right to terminate:

  • In case of unfavorable changes (price, quotas, features), you may terminate without penalty before such changes take effect.

Pro rata (optional):

  • If you suspend early, a pro rata option may be offered depending on the case.

5) Effects of Termination

Access:

  • Upon termination, your access to the Service ceases immediately.

Data deletion:

  • Your data are deleted or anonymized according to our Privacy Policy (see GDPR section).

Data export:

  • You can request export of your data within 30 days following termination.
  • After this period, data will be permanently deleted.
  • Data will be provided in a structured and readable format (JSON, CSV, Excel).

Refunds:

  • Amounts already paid are non‑refundable, except where required by law (e.g., applicable right of withdrawal).

6) SLA & Compensation

No SLA:

  • No SLA is provided.
  • No compensation/penalty for unavailability/degradation.

Exception:

  • Does not apply in case of gross negligence or fraud on our part.

Global cap:

  • Total compensation is capped at subscription amounts paid over the last 12 months.

7) Territoriality & Language

Governing law:

  • This contract is governed by French law.

Jurisdiction:

  • Courts of Nantes are competent.

Language:

  • The French version is the reference.

8) Assignment & Notifications

Assignment:

  • You may not assign this contract without our written consent.

Notifications:

  • Notifications may be sent via:
    • Service interface
    • Email: contact@rakun.sh
    • Registered mail with acknowledgment of receipt
  • Notifications are deemed received upon dispatch, unless proven otherwise.

2) Anti‑benchmark / Competitive Export

  • Technical circumvention (IP rotation, bots) is prohibited.

3) Technical Integrity

Respect limits:

  • Respect API quotas/limits.
  • No scraping/bots without authorization.
  • No voluntary overload (DoS/DDoS).

4) Enforcement

Progressive enforcement:
